Terms and Conditions for Website Design Services 1. Introduction These Terms and Conditions ("Agreement") govern the provision of website design services ("Services") by Hoets and Associates, a South African business with a principal office at Port Alfred, to the client ("Client").By engaging the Agency for Services, the Client agrees to be bound by this Agreement.2. Scope of Services The Agency agrees to provide website design and development services as outlined in the project proposal or quotation document. These may include:Design and layout creationWebsite development (front-end and/or back-end)Basic SEO implementationMobile responsivenessContent integration (text, images, video)Testing and deploymentAny additional services not specified will be subject to a separate agreement or an addendum.3. Client Responsibilities The Client agrees to:Provide all necessary content, feedback, and approvals in a timely manner.Secure rights to all content provided (e.g., text, images, logos).Ensure accurate and complete information is provided.The Agency will not be liable for any delays caused by the Client's failure to meet these responsibilities.4. Fees and Payment Terms All fees will be outlined in a formal quotation or invoice.A deposit of 50% is required to begin work, with the balance due upon project completion or as otherwise agreed.Late payments may incur a fee of 10% per month.Additional revisions beyond the agreed number may incur extra charges.5. Timeline and Delivery Estimated timelines will be provided at project start. These are good-faith estimates and subject to change based on Client responsiveness and scope modifications.The final website will be delivered after full payment has been received.6. Revisions and Approval The Client is entitled to 2 rounds of revisions. Additional changes will be charged at an hourly rate of R550 per hour.Final approval must be given in writing before the website is launched.7. Intellectual Property Upon final payment, the Client will own the website’s design and content, excluding third-party materials and proprietary code (unless otherwise agreed).The Agency retains the right to showcase the project in portfolios and marketing materials.8. Hosting and Maintenance Unless otherwise agreed, hosting, domain registration, and ongoing maintenance are the Client's responsibility. The Agency can provide these services at an additional cost.9. Warranties and Liability The Agency will make reasonable efforts to deliver a bug-free, standards-compliant website.The Agency is not liable for any losses, damages, or security breaches resulting from use or misuse of the website.No guarantees are made regarding SEO rankings or traffic.10. Termination Either party may terminate the Agreement with written notice. If terminated:The Client will pay for all completed work and expenses incurred.The Agency will provide deliverables up to the date of termination.11. Confidentiality Both parties agree to keep confidential all information and materials not publicly available or intended for disclosure.12. Governing Law This Agreement shall be governed by and interpreted in accordance with the laws of South Africa.13. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements.
